Grayscale Investments has filed publicly for an IPO, but it has not priced or completed the offering. Decide what price you are willing to pay
Direct IPO allocations can be limited. Many retail investors can access a new stock only after public trading begins, if and when the offering completes. The first market price may differ substantially from the offer price.
Grayscale is a digital-asset-focused investment platform and asset manager. Its business offers exchange-traded products, publicly traded funds, private funds, and active strategies. Peter Mintzberg is chief executive officer, and Edward McGee is chief financial officer.
There is an important corporate distinction. The operating Grayscale business describes itself as founded in 2013. The IPO issuer, Grayscale Investments, Inc., was formed as a Delaware corporation on May 2, 2025 as part of the pre-IPO reorganization. The issuer operates through Grayscale Operating, LLC and its subsidiaries.
The filing reported approximately $35 billion in assets under management as of September 30, 2025, with more than 40 products providing exposure to more than 45 tokens. Grayscale reported $506 million in revenue and $365 million in operating income for the year ended December 31, 2024. For the nine months ended September 30, 2025, it reported $319 million in revenue and $202 million in operating income. These are historical filing figures, not 2026 estimates.
Grayscale filed its public S-1 in November 2025 and amended the registration statement in January 2026. Filing publicly is not the same as pricing or completing an IPO. The registration statement can be amended, delayed, or withdrawn, and an exchange application does not make GRAY an actively traded stock.
The next official amendment or prospectus would need to fill in the share count, price range, estimated proceeds, valuation, underwriter allocations, and timing. A pricing release would establish the final offer price, and only completion of the offering plus an NYSE listing notice and the start of trading would make GRAY publicly buyable.
Reports that the deal has been paused or delayed should be treated as attributed secondary reporting unless Grayscale or an SEC filing confirms the change. The latest official filing located for this review still leaves the terms blank and does not show a completed offering.

Grayscale's latest official filing describes a directed share program that would reserve part of the IPO for certain eligible investors in GBTC and ETHE, along with certain people identified by company officers and directors. It does not create a public GRAY market, and it only matters if the IPO proceeds.
For GBTC or ETHE investors, the filing says potential eligibility required holding either product on October 28, 2025, living in the United States, and being at least 18 years old. Invitees had to pre-register by November 24, 2025. That deadline has passed, so holding GBTC or ETHE today does not reopen registration or guarantee access.
Pre-registration was only a request to be considered. Grayscale states that completing it did not guarantee an allocation and that no eligible participant was assured any shares. The final number reserved for the program, the program administrator, and the broader offering terms remain blank in the filing.
If the offering proceeds and final instructions are issued, an eligible invitee would still need to follow the administrator's account, identity-verification, funding, confirmation, and deadline requirements. Missing a step or deadline could end participation. An indication of interest is not a binding purchase or a guaranteed fill.
Shares bought through the program would be Class A company stock at the IPO price and would not be subject to the program's stated lock-up restrictions. They would still carry market risk and could lose value after listing. Use only the latest official Grayscale instructions and SEC prospectus because old emails, FAQs, or third-party summaries may omit changed terms.
A bet on Grayscale's operating business is different from a bet on the assets inside a Grayscale product. That distinction matters because the return drivers, ownership rights, fees, and risks are not interchangeable.

A brokerage may charge a commission, and even a commission-free trade can involve a bid-ask spread, regulatory fees, or less favorable execution.
